The so-called dollar-store wars heated up early Monday when Dollar General (DG) upped its bid for Family Dollar (FDO) to $80 a share and offered to divest up to 1,500 stores if needed to get the deal cleared by regulators.
The latest all-cash proposal is $1.50 a share higher than its earlier Aug. 18 bid of $78.50 and is even higher than Dollar Tree’s (DLTR) prior $74.50 a share offer for Family Dollar last month, a deal that is pending.
Dollar General’s latest bid, which was forwarded to Family Dollar’s board, also includes a $500 million reverse break-up fee. That means Dollar General would pay Family Dollar that amount if a deal between the two sides were nixed due to antitrust reasons. It also signals Dollar General’s confidence that the deal would be given a seal of approval from regulators. Late last month, Family Dollar said it was rejecting Dollar General’s initial bid of $78.50, arguing that a deal between the two low-priced retailers would not pass anti-trust regulatory scrutiny.
The latest offer by Dollar General ups the number of stores it is willing to close from 700 to 1,500, even though Dollar General says closing just 700 stores is enough to avoid antitrust scrutiny. The move, coupled with the higher price, is a move designed to increase the odds of the deal getting approved by the Federal Trade Commission and force Family Dollar’s board to reconsider the better proposal.

The Dollar Tree in our neighborhood has the CHUTZPAH to ask its customers to buy their crap and donate it to the poor children of the area… They don’t offer to match it ( you buy an item and we, Dollar Tree will donate the same)… Then when they give it as charitable contributions… THEY TAKE THE CREDIT FOR IT.
